ANJT Sells Two Subsidiaries for Rp 405.6 Billion to Bolster Core Business

InfoSAWIT, JAKARTA – PT Austindo Nusantara Jaya Tbk (ANJT), a plantation issuer specializing in crude palm oil (CPO), has officially divested its entire stake in two subsidiaries to PT Harmoni Agri Mandiri (HAM). This move is part of the company's strategy to strengthen its financial position and intensify its focus on more strategic business lines.

According to information disclosed on the Indonesia Stock Exchange (IDX), ANJT, along with its subsidiary PT Austindo Nusantara Jaya Agri (ANJA), sold all their shares in PT Putera Manunggal Perkasa (PMP) and PT Permata Putera Mandiri (PPM).

In the transaction, ANJT and ANJA divested a total of 1.716 billion shares in PPM, comprising 1.167 billion shares owned by ANJA (68%) and 549.39 million shares owned by ANJT (32%). Similarly, they sold 1.952 billion shares in PMP, consisting of 1.288 billion shares from ANJA (66%) and 663.81 million shares from ANJT (34%).

The shares were acquired by HAM, an unaffiliated third party. The total transaction value reached Rp 405.59 billion (approximately $25.9 million USD), with the sale of PPM shares valued at Rp 133.43 billion and PMP shares at Rp 272.16 billion. The selling price was determined based on an independent appraiser's report, which factored in the assets, liabilities, and total net financial debt of the two entities, valued at Rp 1.31 trillion as of July 31, 2025.

“The goal of this transaction is to strengthen the financial structure, enhance the efficiency of the investment portfolio, and optimize ANJT's business focus on more strategic business activities,” wrote ANJT management in the disclosure, quoted by InfoSAWIT from Kontan on Monday (6/10/2025).

Management added that the transaction value is equivalent to 26.18% of ANJT's total consolidated assets as of December 31, 2024. Through this corporate action, ANJT aims to reinforce its financial performance and accelerate its transformation toward a more sustainable and efficient plantation business. (T2)
