InfoSAWIT, JAKARTA – PT Austindo Nusantara Jaya Tbk. (ANJ) has officially announced significant changes in its management structure and legal status during an Extraordinary General Meeting of Shareholders (EGMS) held today at the company's headquarters in Jakarta. The meeting was attended by shareholders both physically and online via the eASY system from the Indonesia Central Securities Depository (KSEI).
In an official statement received by InfoSAWIT on Thursday (May 8, 2025), the EGMS approved the resignation of all members of the Board of Commissioners and Directors following the completion of the acquisition process by First Resources Limited, a leading agribusiness company based in Singapore. This change reflects the majority share ownership transition of ANJ from the previous shareholders to foreign investors.
The resigning management includes Independent Commissioner Adrianto Machribie Reksohadiprodjo, Commissioners George Santosa Tahija, Sjakon George Tahija, Anastasius Wahyuhadi, Josep Kristiadi, Darwin Cyril Noerhadi, and Istini Tatiek Siddharta. Additionally, all directors, including President Director Lucas Kurniawan and Vice President Director Geetha Govindan Kunnath Gopalakrishnan, have also resigned.
As replacements, the EGMS appointed a new management team led by Harianto Tanamoeljono as President Commissioner and former Minister of Agrarian Affairs Sofyan Djalil as Independent Commissioner. The position of President Director is now held by Suhendro, alongside Isen Henry Tjong and Hilman Lukito as directors.
In addition to the management structure changes, the EGMS also approved the change of ANJ's status from a Domestic Investment Company (PMDN) to a Foreign Investment Company (PMA). This aligns with the change in the company's share ownership structure.
First Resources Limited is now the majority shareholder with a 91.17% stake, having acquired shares from PT Austindo Kencana Jaya, PT Memimpin Dengan Nurani, and individuals George Santosa Tahija and Sjakon George Tahija. The remaining 8.83% of shares are held by the public.
This strategic move marks a new chapter for ANJ in terms of ownership structure and future business direction, with potential for network expansion and increased efficiency in the agribusiness sector, particularly in palm oil. (T2)
